Marsh Alpha™
Marsh Alpha™ is a Marsh-branded Side A Difference in Conditions product designed to protect directors and officers when the company cannot or will not indemnify them and where underlying D&O cover is unavailable, exhausted, rescinded, or otherwise insufficient.
The term is relevant to directors, officers, risk managers, company secretaries, investors, and insurers because management liability claims can threaten both corporate balance sheets and personal assets. For example, if shareholders, regulators, creditors, or employees allege that leaders mismanaged the company, the D&O programme may fund defence costs, settlements, or indemnification depending on the side of cover and exclusions. A practical way to read it is to ask: who is protected, whether the company can indemnify them, which layer pays, and whether defence costs erode the policy limit. The key is to read the term in context, because the same phrase can have a narrow technical meaning in a policy wording and a broader commercial meaning in everyday discussions. . In practice, two policies can use similar wording but produce different outcomes because limits, exclusions, definitions, endorsements, and local law change the final interpretation.
